Terms of Service

This summary helps you read the rest. It doesn’t replace the full Terms.

  • You must accept these Terms to use Atheneo. If you don’t agree, you can’t get access.
  • These Terms will change. Checking for updates is your responsibility. If you keep using Atheneo after an update, you accept it.
  • Atheneo is software. Henry and our tools help you watch the market and organize your trading. You make your own decisions, and you’re responsible for them.
  • We’re not your broker or your adviser. We don’t hold your money or your securities. Your broker does.
  • You trade only for yourself. You connect your own accounts, and your broker carries out and holds everything.
  • Atheneo connects to many brokerages and platforms, and any connection can drop. If a connection drops for any reason, you manage your account directly with your broker or platform. We aren’t responsible for losses caused by a connection failing or being cut off.
  • Data and Henry can be wrong or late. Check before you trade.
  • Our data and content are for your personal use only. You may not resell, share, scrape, or republish them.
  • Paid plans renew automatically until you cancel. You can cancel anytime.
  • Disputes go to individual arbitration, not class actions. You can opt out within 30 days.
  • Our liability is limited. Questions go to support@atheneo.ai and legal notices to legal@atheneo.ai.

1. Who we are and what these Terms cover

These Terms of Service (“Terms”) are an agreement between you and Atheneo AI, Inc. (“Atheneo,” “we,” “us”).

They cover your use of atheneo.trade, atheneo.ai, the Atheneo web and phone apps, Henry, and anything else we offer that links to these Terms. Together, these are the “Service.”

Our Privacy Policy and Risk Disclosure are part of these Terms. Please read all three.

You must accept these Terms to use Atheneo. We ask you to agree when you sign up, and you can’t get access to the Service until you do. Using any part of the Service also means you agree to these Terms. If you don’t agree, you can’t use Atheneo.

2. What Atheneo is, and what it isn’t

Atheneo is a software tool for self-directed traders. It shows market data and lets you build watchlists and a trading plan. It also keeps a trading journal, runs paper (simulated) trading, and includes Henry, an AI assistant that watches the market and tells you what he sees.

Atheneo also connects to the brokerage accounts and trading platforms you choose. We support several brokerages and platforms, and we add more over time. Some connect to Atheneo directly, and others connect through third-party connection services. Section 5 explains how connections work.

Atheneo is not:

You alone decide whether a trade is right for you. If you want advice, talk to a licensed professional.

3. Eligibility and your account

Henry is the AI assistant inside Atheneo. Henry has three modes, and you choose the one he is in:

What Henry says is an observation, not an instruction. Henry might note that a stock is near its high for the day, or say where a setup would stop working. That is information. It is not a recommendation to buy or sell, and it is not advice fitted to your finances. Henry doesn’t know your full financial situation and doesn’t judge whether a trade is suitable for you.

Henry can be wrong. He is software. He runs on market data that can be late or incorrect, and on AI models that make mistakes. We change and improve how Henry works over time. Don’t rely on Henry alone. Our Risk Disclosure explains more.

5. Connected brokerages and platforms

This section matters most if you connect an account or trade live through Atheneo.

5.1 Atheneo connects to many platforms. Atheneo can connect to multiple brokerages and trading platforms (each a “Connected Platform”). Some connections are direct. Others run through third-party connection services that link Atheneo to your account. This section applies to every Connected Platform and every connection, however it is made.

5.2 Your account, your platform. You can connect accounts that you own. Your Connected Platform is responsible for your account, not Atheneo. It holds your money and securities, executes and settles your orders, and sends your statements and tax forms. Your agreement with that platform governs your relationship with it.

5.3 You trade only for yourself. Connect only accounts in your own name that you are allowed to trade. Don’t use Atheneo to trade for anyone else, and don’t let anyone else trade through your connection.

5.4 You follow your platform’s rules. When you create API keys, sign in to approve Atheneo, or link an account through a connection service, you accept that platform’s or service’s terms for that access, and you are responsible for following them. If a Connected Platform or connection service limits, suspends, or ends your access, that is between you and them.

5.5 What you authorize us to do. By connecting an account, you authorize Atheneo to use the keys, access tokens, or other permissions you provide, directly or through a connection service, to:

We use your connections only for these purposes. We store keys and access tokens encrypted, and after you enter a key we never display it in full again.

5.6 Your orders. You are responsible for every order you send through Atheneo. Check the symbol, side, size, price, order type, and trading session before you confirm.

We may apply safety checks, such as a maximum order size or requiring the connection to be up and not paused. We may refuse or block an order for safety, legal, or technical reasons. These checks are there to help. They are not a promise that a mistaken order will be caught.

Once an order reaches your broker or platform, only it can execute, cancel, or change the order, and whether that’s possible is up to it.

5.7 Any connection can fail, for any reason. Connections between Atheneo and your Connected Platforms can drop, slow down, or misbehave at any time. Because Atheneo connects to many platforms, and some connections pass through more than one company, a connection can fail in many places, including:

When a connection is down, Atheneo can’t see or manage that account. Orders already sent stay with your broker or platform and may still fill, and what Atheneo shows you may be out of date. Your broker’s or platform’s records are always the official record.

We will try to let you know when a connection drops, in the app and by email, but we can’t guarantee that we will, or how quickly.

You must be able to manage every connected account directly with its broker or platform at all times. Keep their app or website ready, especially while you have open positions.

5.8 Disconnections are not our responsibility. To the fullest extent the law allows, Atheneo is not liable for any loss that comes from:

5.9 Pausing and disconnecting. You can pause trading on a connection, or disconnect an account, at any time in Settings. When you disconnect an account, we stop using it. Once none of your connected accounts uses a set of keys or access tokens, we delete them. You can also revoke Atheneo’s access at your broker or platform whenever you like.

We may pause or disconnect any connection, or turn off live trading for everyone, when we believe it’s needed for safety, security, or legal reasons.

5.10 Accounts opened through Atheneo. If we offer brokerage accounts opened through Atheneo, a registered broker-dealer will hold them under its own customer agreement. We will tell you which one before you open an account, and you will accept its agreement separately.

6. Paper trading, scores, and performance

Paper trading uses simulated money. Paper fills don’t reflect real-world conditions such as slippage, partial fills, or the pressure of trading real money.

Results from paper trading, backtests, scorecards, leaderboards, or Henry’s track record are hypothetical. They don’t predict how you will do with real money. The Risk Disclosure explains why.

7. Market data and content: what you can and can’t do

In plain words: the data, charts, and Henry’s notices in Atheneo are for your own trading. They can be late or wrong. You can’t resell them, pass them around, or copy them somewhere else.

7.1 Where it comes from. Atheneo shows market data, news, company information, and other material from third-party providers. It also shows material we create, including Henry’s notices and briefs, charts, scores, and analysis. Together, all of this is “Content.”

7.2 No guarantees. Content is provided as is. It may be delayed, incomplete, or wrong, and providers can change or stop it without notice. We don’t endorse third-party Content. We are not liable for losses caused by a delay, error, or omission in any Content.

7.3 Personal use only. We give you a limited, personal, non-transferable, revocable right to view and use Content for your own trading while you have an account. You may not:

7.4 Provider terms. Some data providers and exchanges require their users to accept extra terms. If we show you those terms, they apply to you too. Market data is for your personal, non-professional use unless we have agreed otherwise in writing.

7.5 Usage limits. Plans may include limits, such as how many notices Henry sends per day, how large a watchlist can be, or how many requests you can make. We may set and enforce reasonable limits to keep the Service working well for everyone.

8. What you agree not to do

We may investigate misuse and act on it, including by suspending accounts and reporting to the authorities.

10. Your content and feedback

You own what you put into Atheneo, such as journal entries, notes, plans, and your profile photo (“Your Content”). You give us permission to store, process, and display Your Content to run the Service for you, and to use it as our Privacy Policy describes.

If you send us ideas or feedback, we can use them without paying you or owing you anything.

11. Our property

We or our licensors own the Service, and the law protects it. That includes Henry, our software, our designs, the Content we create, and the names Atheneo and Henry and our logos. These Terms don’t give you any ownership or rights beyond what they say.

The Service works with services we don’t control, such as brokerages and trading platforms, connection services, sign-in providers, and data providers, and it may link to other websites. We aren’t responsible for them, and their own terms govern your use of them.

13. Changes to the Service

We are always improving Atheneo. We may add, change, or remove features, including Henry’s modes, rules, and models, and the brokerages and platforms we connect to. We may also suspend or stop all or part of the Service. When we can, we will give notice of significant changes and of planned maintenance.

In plain words: we work hard on Atheneo, but we can’t promise that it will be perfect, always available, or right.

THE SERVICE, HENRY, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DATA OR CONTENT WILL BE ACCURATE OR TIMELY; THAT CONNECTIONS TO ANY BROKERAGE, PLATFORM, OR CONNECTION SERVICE WILL WORK; OR THAT USING THE SERVICE WILL MAKE YOU MONEY OR PREVENT YOU FROM LOSING IT.

16. Limits on our liability

In plain words: if something goes wrong, there is a limit to what we owe you.

TO THE FULLEST EXTENT THE LAW ALLOWS:

(a) ATHENEO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, OR LOST GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, HENRY, ANY CONTENT, ANY CONNECTED PLATFORM OR ACCOUNT, OR ANY CONNECTION SERVICE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

(b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (1) WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT THAT LED TO THE CLAIM, OR (2) $100.

Some states don’t allow some of these limits, so they may not all apply to you. Nothing in these Terms limits liability that the law does not allow to be limited, such as liability for fraud.

17. Indemnity

If someone makes a claim against Atheneo because of your use of the Service, your breach of these Terms or of the terms of any Connected Platform or connection service, Your Content, or your violation of the law or of someone else’s rights, you will defend Atheneo and pay the resulting losses and reasonable costs, including attorneys’ fees.

18. Resolving disputes (please read carefully)

18.1 Talk to us first. Most problems can be fixed quickly. Before starting a formal claim, email legal@atheneo.ai with your name, your account email, what happened, and what you are asking for. We will do the same if we have a claim against you. Both sides agree to try in good faith to resolve it for 60 days.

18.2 Binding individual arbitration. If we can’t resolve it, you and Atheneo agree that any dispute about the Service or these Terms will be decided by binding arbitration instead of in court. The American Arbitration Association (AAA) will run it under its Consumer Arbitration Rules, and the Federal Arbitration Act governs this section. Hearings can be held by video or phone, or in the county where you live. Fees are paid as the AAA Consumer Arbitration Rules provide.

18.3 Exceptions. Either side may bring an individual claim in small claims court. Either side may also go to court to stop infringement or misuse of intellectual property.

18.4 No class actions. You and Atheneo may bring claims against each other only individually, not as a plaintiff or class member in any class, collective, or representative action. An arbitrator may not combine more than one person’s claims. If a court finds this paragraph unenforceable for a particular claim, that claim must be decided in court, not in arbitration.

18.5 No jury. If a dispute goes to court, you and Atheneo both give up the right to a jury trial.

18.6 Opting out. You can opt out of arbitration within 30 days of first accepting these Terms. To do that, email legal@atheneo.ai with your name, your account email, and a clear statement that you are opting out of arbitration. Opting out doesn’t change anything else in these Terms.

18.7 Time limit. To the extent the law allows, any claim must be brought within one year after it arises.

18.8 Changes to this section. If we change this section, the change won’t apply to a dispute that we already knew about before the change.

19. Governing law and courts

Delaware law governs these Terms, without regard to its conflict-of-law rules. The Federal Arbitration Act governs section 18. Any court case allowed under these Terms will be heard in the state or federal courts in DuPage County, Illinois, and you and Atheneo agree to the jurisdiction of those courts.

20. Changes to these Terms

These Terms will change. We update them as Atheneo grows and as laws and markets change. The date at the top shows when they last changed.

Checking for updates is your responsibility. Review these Terms regularly so you know what the current version says.

How we tell you. If a change is significant, we will also tell you by email or in the app at least 14 days before it takes effect, unless it has to happen sooner for legal or safety reasons. We may ask you to accept the updated Terms before you can keep using Atheneo.

Using Atheneo means you accept updates. You agree that we can update these Terms in this way, and that each update applies to you once it takes effect. If you keep using the Service after that, you accept the updated Terms. If you don’t agree, stop using the Service and close your account.

21. Electronic communications

You agree to receive agreements, notices, disclosures, and other messages from us electronically, by email, in the app, or on our website. These count as “in writing.” Keep your email address up to date.

We will send service messages, such as security alerts and dropped-connection emails, even if you have turned off marketing emails.
